Deregistering a Hong Kong limited company

Under section 750 of the Companies Ordinance (Cap. 622), a local private company or company limited by guarantee may apply for deregistration if:
1. All members agree to the deregistration;
2. The company has never commenced business, or has not been in operation during the three months immediately before the application;
3. The company has no outstanding liabilities;
4. The company is not a party to any legal proceedings;
5. The company's assets do not include immovable property situated in Hong Kong; if it is a holding company, none of its subsidiaries' assets may either;
6. A "Notice of No Objection to a Company being Deregistered" has been obtained from the Commissioner of Inland Revenue.
Form NDR1, the notice and the fee go to the Companies Registry within three months of the notice being issued. We can handle this step for you too.
Deal with the company's assets before you file: once the company is dissolved, any property left in its name (including bank balances) passes to the Government by law and cannot be recovered afterwards.
If unpaid debts or unfiled tax come to light after deregistration, the only way back is a court order restoring the company (section 765(2) of the Companies Ordinance), which is slow and expensive. Before applying, we run an eligibility and tax check for you.

What do you need to set up a limited company in Hong Kong?
One person is enough. Anyone aged 18 or over holding a passport or identity card can be a shareholder and director, whether from Hong Kong, the mainland or overseas. You also need a Hong Kong registered address and a Hong Kong resident or professional firm as statutory company secretary; we can arrange both for you.
Are there fees to pay to the Hong Kong government after the company is set up?
Yes. Every year a Hong Kong company must file with the Companies Registry and the Inland Revenue Department and renew once, paying the business registration certificate fee (HK$2,350) and the Annual Return fee (HK$105). We follow up on the renewal for you every year.
What are the advantages of a limited company?
It raises the profile and international standing of the business.
Company information is open to public search.
Funds move freely; there is no exchange control.
You can do business in Hong Kong and in any country or region.
You can open foreign currency accounts with major banks around the world.
Few taxes, low rates.
What is the difference between a shareholder and a director?
Shareholders' rights and duties: attend general meetings and vote in proportion to shareholding; know how the company is run and how it stands financially; elect and be elected to the board; receive dividends; have first refusal on shares transferred by other shareholders; have first refusal on newly issued shares; share in the remaining assets according to law after the company is wound up; consider and approve the annual audited accounts at the general meeting; appoint or remove directors through the general meeting and decide their remuneration.
Directors' rights and duties: run the company day to day and take the decisions; keep the accounting books and business records; manage the bank accounts; borrow on behalf of the company and pledge company property as security; draw up the profit distribution plan; draw up the plan to increase the registered capital; call general meetings; carry out the resolutions of the general meeting.
Can the same person be both shareholder and director?
Yes. The shareholder and the director can be the same person.
What is the minimum number of shareholders and directors for a limited company?
At least one shareholder and one director. The shareholder can also be the director.
Can a non-Hong Kong person set up a Hong Kong company?
Yes. Anyone aged 18 or over from the mainland or overseas holding a passport or identity card can be a shareholder or director of a Hong Kong limited company.
If I am not a Hong Kong resident, do I have to hold a passport to be a shareholder and director of a limited company?
Not necessarily. But if the company is going to open a bank account in Hong Kong, the shareholders and directors need a valid passport or travel permit and an identity card.
Can a limited company be a shareholder or director of another limited company?
Yes.
Can other people look up the company's director and shareholder information?
Partly. A company's name, registered office, shareholders' names and shareholdings and directors' names can be searched through the Companies Registry. Since 2023, however, protected information has been phased in, so a director's full identity card or passport number and usual residential address are no longer open to public inspection, and only specified persons may apply for access — source, the Companies Registry.
Does the company name have to use words related to the business?
No. There are few restrictions on what a Hong Kong company may do. As long as it is lawful, it can carry on business of any kind, for example finance, healthcare, import and export trading, construction and decoration, information and networks, clothing and textiles, travel, or culture and publishing.
Can mainland residents set up a Hong Kong company?
Yes.
Can the company register a Chinese name only, or an English name only?
Yes. If you need to open a bank account, you must register an English name.
What restrictions are there on the company name?
There are few. Whatever the share capital, the Hong Kong government allows a company name to contain words such as international, group, holdings, industrial, investment, college, association or institute; you can also put a place name in front, for example France, America, Italy, Japan or Shanghai.
