Company Secretary

How much does a company secretary cost? HK$900 a year, with the government fee of HK$105 on top.

Every Hong Kong limited company must have a statutory company secretary. We act as your secretary: filing the Annual Return on time, keeping the statutory records, and handling the appointment and removal of directors and the secretary and any change in their details. If the Annual Return is late, the government penalty starts at HK$870, so this is one date we keep track of for you every year. Company registration, registered address and tax filing are all followed up in the same WhatsApp group.

Company secretary FAQ

Does a limited company have to have a company secretary?
Yes. Hong Kong company law requires every limited company to have a statutory secretary. The secretary arranges meetings, writes the minutes, files statutory documents with government departments, keeps the company within the law and helps with opening a bank account. You can appoint us to do it.
Who can be the company secretary?
The statutory secretary is a Hong Kong individual or a body corporate; a body corporate must be a limited company registered in Hong Kong. If the company has only one director, that director cannot also be the company secretary (source: Companies Registry).
Can an overseas person be the company secretary?
No. The company secretary must be a Hong Kong resident or a Hong Kong limited company. What overseas shareholders most often do is appoint us.
When is the Annual Return NAR1 due, and what is the penalty for filing late?
A private company files within 42 days of the anniversary of its incorporation each year; filed on time, the government fee is HK$105. Late, it is HK$870 from 42 days to 3 months, HK$1,740 from 3 to 6 months, HK$2,610 from 6 to 9 months, and HK$3,480 after 9 months (source: Companies Registry fee table). With our secretary service, we keep track of this date for you.
What is the Significant Controllers Register (SCR)? Do I need one?
Every Hong Kong company must keep a Significant Controllers Register, recording the people with significant control over the company, and name a designated representative. Without one, the company and every responsible person can be fined up to HK$25,000, plus HK$700 a day (source: Companies Registry). We have a separate Significant Controllers Register service, which can be arranged together with the secretary service.
How much does it cost to change a director, secretary or address?
A change of secretary or director, a change of their details, or a resignation is HK$500 each; a change of registered office or branch address is HK$500; a change of limited company name is HK$2,500. The prices are in the table above, and government fees are extra.
How much does deregistration cost?
Our service fee is HK$2,210, plus a government fee of HK$690. The company can only apply if it has never started business or has ceased business for three months, has no outstanding liabilities, and has the agreement of all shareholders.
Can I switch to you as company secretary?
Yes. Tell us the details of your current secretary and we will handle the change and report it to the Companies Registry.
